Thrive Holdings to Acquire ADT in $15.3B Deal
Thrive Holdings has agreed to acquire US security provider ADT in an all-cash transaction. The deal aims to accelerate technology development and expand smart home security capabilities.
According to the official announcement from ADT, the agreement values the company at approximately $7.6 billion in equity and $15.3 billion in enterprise value. ADT shareholders will receive $10 per share in cash, representing a 45.6% premium to the company’s unaffected closing share price on October 27, 2026. The transaction will combine ADT’s more than 150 years of security experience and nationwide service network with Thrive Holdings’ investment capital and engineering capabilities.
Technology Investment and Security Innovation
Thrive Holdings plans to strengthen ADT’s technology and product development while supporting its existing security operations. The investment company currently owns more than 75 businesses across accounting, IT services, and the built environment. Following the acquisition, ADT will become the foundation of its smart home security business.
Thrive’s engineering teams will work with ADT professionals to identify opportunities for improving security products, services, and customer support. “We intend to build on that foundation by strengthening ADT’s technology and product capabilities, with the capital and patience to invest over decades,” said Kareem Zaki, Partner at Thrive Holdings.
The companies expect their combined capabilities to support long-term innovation and provide security professionals with more actionable information. ADT also confirmed that its existing data protection and privacy policies will remain unchanged. Any new data sharing will require customer permission.
Acquisition Expected to Close in Early 2027
The transaction is expected to close during the first quarter of 2027, subject to shareholder approval, US antitrust clearance, and other customary conditions.
Until completion, ADT will continue operating independently. Once the acquisition closes, the company will become privately held, and its shares will cease trading on the New York Stock Exchange.
The agreement has received unanimous approval from ADT’s Board of Directors. Financing commitments have been provided by funds managed by affiliates of Apollo Global Management.
